Subject syllabus

The basic theoretical background to the issue of ownership control of companies (particular stock companies).
The theory of property rights and contractual relationships.
Bank-based and market-based corporate control and two basic models of ownership control.
The practical functioning of corporate governance in the Czech Republic and abroad.
Corporate governance development in Central and Eastern European countries. Administrative authorities in corporations and their role.
Corporate governance failure in the Czech Republic and abroad.
